These terms govern your use of Vertex, including the browser extension, web application, and API (collectively, the "Service"). By using the Service, you agree to these terms.
The Service
Vertex lets you annotate, archive, and organise web pages. The Service includes a Chrome browser extension, a web dashboard, and server-side storage for your annotations and archives.
Your Account
- Accounts are identified by a cryptographic key. You are responsible for keeping your key safe.
- We cannot recover lost keys. If you lose your key, your account is inaccessible.
- You may optionally set a display alias. Aliases must not impersonate other people or organisations.
- One account per person. Automated account creation is not permitted.
Your Content
- You retain ownership of all content you create through the Service (annotations, notes, archives).
- By using the Service, you grant us a limited licence to store, process, and serve your content back to you and, where you choose to share it, to others.
- You are responsible for the content you archive and share. Do not use the Service to store or distribute illegal material.
- Archives capture publicly accessible web pages. Archiving content behind authentication or paywalls is your responsibility to ensure you have the right to do so.
Acceptable Use
You agree not to:
- Use the Service to harass, abuse, or harm others
- Attempt to access other users' data or accounts
- Overload the Service with automated requests beyond normal usage
- Reverse-engineer, scrape, or extract data from the Service beyond what the intended interfaces provide
- Use the Service to circumvent copyright protections or digital rights management
Paid Plans
- Vertex offers free and paid tiers. Paid features and pricing are described on the website.
- Payments are processed by Paddle, our merchant of record. Paddle's terms apply to payment transactions. Paddle requires an email address for billing; Vertex does not use or store this email.
- You may cancel a paid plan at any time. Access to paid features continues until the end of the current billing period.
Refund Policy
If you are not happy with your purchase, the following refund terms apply:
- 14-day refund window: You may request a full refund within 14 days of your initial purchase or renewal, no questions asked.
- How to request: Contact us at [email protected] with your account alias or the email used for payment.
- Processing: Refunds are processed through Paddle and typically appear within 5-10 business days, depending on your payment provider.
- Partial billing periods: If you cancel mid-cycle, you retain access until the end of the current billing period. No partial refunds are issued for unused time outside the 14-day window.
- Consumer rights: These terms do not affect your statutory rights under applicable consumer protection laws, including the EU right of withdrawal.
Archives and Storage
- Archives are stored on our servers. We make reasonable efforts to preserve your data but do not guarantee permanent storage.
- We may impose storage limits, particularly on free accounts.
- Shared archives are publicly accessible via their share link. You are responsible for what you choose to share.
Availability
We aim to keep the Service available but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
Termination
- You may stop using the Service at any time.
- We may suspend or terminate accounts that violate these terms.
- Upon termination, your data may be deleted. We are not obligated to retain your data after account termination.
Limitation of Liability
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the Service, including loss of data, loss of profits, or interruption of service.
Changes to These Terms
We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated terms. We will make reasonable efforts to notify users of significant changes.
Governing Law
These terms are governed by the laws of the European Union and the applicable laws of Belgium. Disputes shall be resolved in the courts of Belgium.
